Welcome to ICanopy! These Terms of Service ("Terms") govern your access to and use of our website, platform, and services (collectively, the "Service"). By creating an account or using our Service, you agree to be bound by these Terms. If you do not agree, please do not use our Service.

1. Acceptance of Terms

By accessing or using ICanopy, you confirm that:

• You are at least 13 years old (or 16 in the European Economic Area)
• You have the legal capacity to enter into these Terms
• If using the Service on behalf of an organization, you have authority to bind that organization to these Terms

2. Description of Service

ICanopy is a link-in-bio platform that allows you to:

• Create a customizable landing page with links to your content, social profiles, and other online destinations
• Choose from various themes and design options to personalize your page
• Track analytics about visitors to your page
• Use a unique username (icanopy.io/yourusername) or connect a custom domain (Pro plan)
• Embed media, showcase products, and more

We may add, modify, or discontinue features at our discretion with reasonable notice.

3. Account Registration

3.1 Account Creation

To use most features, you must create an account by providing accurate and complete information. You may register using your email address or through Google OAuth.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

We are not liable for any loss resulting from unauthorized use of your account.

3.3 Username Selection

Your username must not:

• Impersonate any person or entity
• Infringe on any trademark or intellectual property
• Be offensive, vulgar, or otherwise inappropriate
• Be misleading or deceptive

We reserve the right to reclaim or reassign usernames at our discretion, including for trademark holders or in cases of inactivity.

4. User Content

4.1 Your Content

"User Content" includes all links, text, images, videos, and other materials you upload, post, or display through the Service. You retain ownership of your User Content, but grant us a worldwide, non-exclusive, royalty-free license to use, host, store, display, and distribute your User Content as necessary to provide the Service.

You are solely responsible for your User Content. You represent and warrant that:

• You own or have the necessary rights to use and share your User Content
• Your User Content does not violate any third party's rights, including intellectual property, privacy, or publicity rights
• Your User Content complies with these Terms and all applicable laws

• Illegal Content: Violates any applicable law or promotes illegal activities
• Harmful Content: Contains malware, viruses, phishing schemes, or other harmful code

• Adult Content: Contains pornography, sexually explicit material, or content inappropriate for minors

We reserve the right to review, remove, or disable access to any User Content that violates these Terms or is otherwise objectionable, without prior notice. We may also suspend or terminate accounts that repeatedly violate our policies.

5. Acceptable Use

• Interfere with or disrupt the Service or servers/networks connected to it

7. Paid Services

7.1 Subscription Plans

We offer free and paid subscription plans (e.g., Pro). Paid plans provide additional features such as custom domains, advanced analytics, and removal of ICanopy branding. Plan details and pricing are available on our website.

7.2 Billing

For paid plans:

• You authorize us to charge your payment method on a recurring basis
• Subscriptions automatically renew unless cancelled before the renewal date
• Prices may change with 30 days' notice
• You are responsible for keeping your payment information current

7.3 Refunds

Payments are generally non-refundable. However, we may provide refunds at our discretion in cases of technical issues that prevented you from using the Service. If you believe you are entitled to a refund, please contact us within 14 days of the charge.

7.4 Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation:

• You will retain access to paid features until the end of your current billing period
• Your account will revert to the free plan
• No partial refunds will be provided for unused time

8. Third-Party Services

The Service may integrate with or contain links to third-party websites, services, or content. We do not control and are not responsible for third-party content, privacy practices, or terms. Your use of third-party services is at your own risk and subject to their terms and policies.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. We disclaim all warranties, including but not limited to:

• Merchantability and fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or completeness of content
• Uninterrupted, secure, or error-free operation

We do not warrant that the Service will meet your requirements or that any errors will be corrected.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ICANOPY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to loss of profits, data, use, or goodwill, arising from:

• Your use or inability to use the Service
• Any unauthorized access to or alteration of your content
• Any third-party conduct or content on the Service
• Any other matter relating to the Service

Our total liability for any claims arising from these Terms or the Service shall not exceed the greater of: (a) the amount you paid us in the 12 months preceding the claim, or (b) $100 USD.

11. Indemnification

You agree to indemnify, defend, and hold harmless ICanopy and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any third-party rights

12. Termination

12.1 By You

You may terminate your account at any time by deleting it from your settings. Upon deletion, your User Content will be removed from public view, though some information may be retained as described in our Privacy Policy.

12.2 By Us

We may suspend or terminate your account immediately, without prior notice or liability, if:

• You violate these Terms
• Your use of the Service may harm us or other users
• We are required to do so by law
• We discontinue the Service

12.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, limitations of liability, and indemnification.

13. Dispute Resolution

13.1 Informal Resolution

Before filing any formal dispute, you agree to attempt to resolve any dispute informally by contacting us. We will try to resolve the dispute within 30 days.

13.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

13.3 Jurisdiction

Any disputes arising from these Terms or the Service that cannot be resolved informally shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in such courts.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ICanopy regarding the Service and supersede any prior agreements.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

We may provide notices to you via email to the address associated with your account or by posting on the Service. Notices to us should be sent to the contact information below.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a new "Last updated" date, and for significant changes, we may also notify you by email. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.
